• Transaction Coordination services (tc.stellarclose.com)
• StellarMail email marketing platform
• All other StellarClose LLC products

2. Description of Services

StellarClose LLC provides software tools and services for real estate professionals, including but not limited to:

• Transaction coordination and management
• Document storage and e-signatures
• Email marketing tools
• Scheduling and appointment management
• Customer relationship management

3. Account Registration

To use our services, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of unauthorized access
• Be responsible for all activities under your account

4. Pricing and Payment

Transaction Coordination

• $150 per transaction, contract to close
• No monthly fees, no contracts, no minimums
• If the deal falls through, you don't pay

Other Services

• Pricing varies by product and is displayed at point of purchase
• Subscription services bill monthly or annually as selected
• All fees are non-refundable unless otherwise stated

Payment Terms

• We accept major credit cards, PayPal, and ACH payments
• You authorize us to charge your payment method for all fees
• Past due amounts may incur late fees

5. User Responsibilities

You agree to:

• Use services only for lawful purposes
• Provide accurate information for transactions
• Maintain appropriate licenses for your profession
• Comply with all applicable real estate laws and regulations
• Not misrepresent your relationship with clients or parties
• Respect intellectual property rights

6. Prohibited Uses

You may not:

• Use services for illegal activities
• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware or harmful code
• Attempt to gain unauthorized access
• Interfere with service operations
• Resell or redistribute services without authorization
• Use automated systems to access services (except approved APIs)

7. Intellectual Property

All content, features, and functionality of our services are owned by StellarClose LLC and protected by copyright, trademark, and other intellectual property laws.

You retain ownership of content you upload. By uploading content, you grant us a license to use it to provide our services.

• Our total liability is limited to fees paid in the preceding 12 months

12. Termination

We may suspend or terminate your access if you:

• Violate these Terms
• Engage in fraudulent activity
• Fail to pay fees when due
• Pose a risk to other users or our systems

You may cancel your account at any time by contacting support.

13. Dispute Resolution

Any disputes arising from these Terms shall be:

• Governed by the laws of the State of Michigan
• Subject to binding arbitration in Michigan
• Resolved on an individual basis (no class actions)

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or service notifications. Continued use after changes constitutes acceptance.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and StellarClose LLC regarding use of our services.
